Annual return is a specific form, that listing the company address, shareholders', directors', company secretaries' information and etc as of the anniversary date. All local incorporated limited companies have to prepare and submit an annual return with signature of either a director or a secretary. According to <company ordinance no. 344A(3)>, all dormant company can be exempt.

Local incorporated private limited company has to prepare and submit an annual return to Companies Registry within 42 days from the company's anniversary date. (Annual Return fee is HK$105, delay will increase the cost significantly).

Owner/Directors of limited companies always forgot to do so, until they receive summons from Companies Registry, however, it is too late… (as the company has to pay several thousands dollar more as penalties)
